1. Scope
These General Terms and Conditions ("GTC") of TechnologyONE Germany e.K. ("Seller") apply to all contracts for the delivery of goods that a consumer or entrepreneur ("Customer") concludes with the Seller in the Seller's online shop. The inclusion of the Customer's own terms is rejected unless otherwise agreed.
These GTC also apply to contracts for the delivery of goods with digital elements. In such cases, the Seller provides digital content or services that are integrated with or necessary for the functioning of the goods.
A consumer is any natural person concluding a transaction for purposes not predominantly attributable to their commercial or independent professional activities. An entrepreneur is any natural or legal person acting in the exercise of commercial or independent professional activity.
2. Conclusion of the Contract
The product descriptions in the Seller's online shop do not constitute binding offers. The Customer submits a legally binding contract offer by placing an order through the online order form, via telephone, fax, email, post, or an online contact form. The Seller may accept the offer within five days:
- By confirming the order in writing or via email.
- By dispatching the ordered goods.
- By requesting payment from the Customer.
If the Seller does not accept the Customer's offer within five days, the Customer is no longer bound by their offer.
Contracts are concluded in German. Order processing and communication are generally conducted via email. The Customer must ensure their provided email address is correct and that emails from the Seller can be received.
3. Right of Withdrawal
Consumers generally have a right of withdrawal. Further details are provided in the Seller’s cancellation policy.
4. Prices and Payment Terms
All stated prices include statutory VAT. Additional delivery and shipping costs are specified separately.
Available payment methods are displayed in the Seller’s online shop. If advance payment via bank transfer is agreed, payment is due immediately. PayPal transactions are processed according to PayPal’s terms.
If purchase on account is offered, the invoice amount is due within 14 days. The Seller may reject this payment method after a credit check.
5. Delivery and Shipping Conditions
Delivery is made to the address specified by the Customer. The risk of accidental loss or deterioration of the goods passes to the Customer upon handover. If the Customer is an entrepreneur, risk passes upon dispatch.
If self-delivery by the Seller fails, the Customer will be informed immediately, and any payment refunded. Self-collection is not possible.
6. Retention of Title
Until full payment is received, the Seller retains ownership of the delivered goods.
7. Liability for Defects (Warranty)
The statutory warranty rights apply. For entrepreneurs:
- The Seller chooses the type of supplementary performance.
- The limitation period does not restart upon replacement delivery.
- The commercial duty to inspect and report defects under § 377 HGB applies.
Consumers are encouraged to report transport damage to the deliverer and inform the Seller. Failure to do so does not affect warranty rights.
8. Redemption of Promotional Vouchers
- Promotional vouchers are valid only within the specified period and cannot be purchased.
- They must be redeemed before the order process is completed.
- Multiple vouchers may be used per order.
- The voucher balance is not paid out in cash.
- If goods purchased with a voucher are returned, the voucher is not refunded.
- The voucher is transferable.
9. Applicable Law
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this applies only if it does not limit mandatory consumer protection laws of their residence country.
10. Jurisdiction
If the Customer is an entrepreneur, the Seller’s registered office is the exclusive jurisdiction. However, the Seller may also take legal action at the Customer's registered office.
11. Code of Conduct
The Seller adheres to the Trusted Shops quality criteria, available at: Trusted Shops.
12. Alternative Dispute Resolution
The EU Commission provides an online dispute resolution platform: EU ODR Platform.
The Seller is neither obligated nor willing to participate in dispute resolution before a consumer arbitration board.
